“Curaleaf Makes Bid for Aurora Cannabis Inc.”

A U.S. cannabis company has made a bid to acquire Aurora Cannabis Inc., prompting the Edmonton-based firm to form a special committee to review the offer. Curaleaf Holdings Inc. disclosed its intention to purchase all shares of Aurora, aiming to create a global cannabis entity operating in 17 countries. Despite attempts to negotiate privately, Curaleaf decided to go public with its proposal after Aurora’s board declined engagement following the submission of formal letters of intent. Curaleaf has proposed paying Aurora shareholders $4 US per share plus an additional $0.75 US in cash per share. Aurora, however, stated that it did not refuse to engage with the offer, mentioning ongoing correspondence between the companies’ leadership. Aurora will convene a special committee to evaluate the bid’s merits and implications for stakeholders, with no certainty of a deal being finalized. While acknowledging Curaleaf’s interest, analysts from TD Cowen believe that the current offer undervalues Aurora’s potential, citing the company’s market leadership, product portfolio, and regulatory expertise. Curaleaf’s CEO highlighted the synergies between the companies, emphasizing the value creation and global opportunities for shareholders in both entities.
